Terms and conditions
1.
The referrers in this programme must be qualified Referral Partners (Referral Partner) who have reached a Commercial Banking Referral Partner agreement with HSBC Bank (China) Company Limited (the Bank).
2.
Programme period: from [1 Jun 2009] (“starting date of this referral period”) to [31 Dec 2009] (inclusive) (“closing date of this referral period”).

In referring a customer to the Bank, the Referral Partner shall obtain prior written consent from the customer’s authorised representative expressly stating the customer’s agreement that the Referral Partner is entitled to provide the Bank with the information concerning this customer on relevant sites of the Bank’s public website and the Bank is allowed to contact this customer directly. The Referral Partner hereby agrees that the Bank may, during direct contact with the customer, explain to the customer that it contacts the customer through referral by the Referral Partner. In referring the customer, the Referral Partner shall make available basic data relating to each customer to the Bank according to the requirements set out in relevant sites of the Bank’s public website. If the Referral Partner violates the provision of this clause (including but not limited to failure to obtain the referred customer’s written approval, the invalidity of alleged written approval of the customer or the customer’s refusal to admit having given any such approval), it shall indemnify and hold harmless the Bank from any loss and claim thus incurred, and be kept liable for eliminating any resulting negative influence on the Bank. The Bank is entitled to investigate at any time the authenticity and validity of customer data furnished by a Referral Partner.

The Bank reserves the power of interpretation of the programme.
5.
The Bank reserves the right to supplement and modify these terms and conditions from time to time. The terms herein provided by the Bank may, be supplemented or modified from time to time, without consent of the Referral Partner and upon giving the Referral Partner prior notice by way of display in the Bank’s premises or by such other method as the Bank may decide.
6.
These terms and conditions (may be modified from time to time) shall be governed by and construed in accordance with the laws of the People’s Republic of China.
7.
In case of discrepancies between English and Chinese, the Chinese shall apply and prevail.
